This agreement describes the terms and conditions for participation in the CP Affiliate Program.  In this agreement, the term “Participant” refers to you (the applicant). Wherever the agreement refers to “you”’ or “your”, it means “the Participant”; “we”, “us” or “our” refers to Chakra Productions, LLC, and the terms “product” or “products” refers to the yGuide yoga software and yoga pose collections. 

 

To make referrals even simpler, you can add or remove links at any time to our store.  We will make available to you banner adds and textual links making it easy for you to link to our website.  You may display such graphic images and/or textual links in relevant sections of your site.  The images and links may be modified and/or expanded from time to time throughout the term of this agreement.  You may add as many links to our store, or remove such links, at anytime without prior approval us. 

 

The following products are a part of the CP Affiliate Program and qualify for referral fees:

The products must meet the following additional criteria:

The purchase price of the referral fee qualifying products will count toward the total sales during the calendar month in which such products are sold.  Only qualifying products that are sold by us, shipped/sent to a customer and for which we have received full payment will qualify for a referral fee.  The total of such sales in any given month will generate referral fees, based upon a 20% flat rate referral fee. 

 

We will send a referral fee check for the applicable referral fee approximately 30 days after the last day of each quarter with a statement of customer purchase activity.  The minimum payment amount is $10.00. If the commission is less than $10.00 for the given period, the earned commission will be carried forward to the next period.

 

If a referral fee qualifying product is later returned by the customer, its referral fee will be deducted from the next monthly payment sent to the Participant.  If there is no next monthly payment, the Participant will be billed.

 

We will be solely responsible for tracking sales we make to customers who follow the links from your website.  The sales are tracked by a direct link from your site to our site using your assigned unique URL. The link visit from your website is tracked for 90 days. The Participant will be solely responsible for ensuring that the links are formatted properly.  These are necessary prerequisites to tracking such sales.  

 

You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site.  Such responsibilities include, but are not limited to:

Every customer who buys a product through this program is deemed to be a customer of ours.  The Participant does not have the authority to make or accept any offer on behalf of Chakra Productions, LLC.  All our policies regarding customer orders, including product availability, pricing and problem resolution, will apply to these customers.  We are not responsible for any representations made by the Participant which contradict our policies.

 

We grant you a non-exclusive, revocable right to use our images for which we grant express permission, solely for the purpose of identifying your site as a program participant.  You may not modify our images in any way.  We reserve all our rights in all our images, our trade names, trademarks and copyrights, and all other intellectual property rights.  We may revoke your license at any time by giving you written notice.

 

You may receive referral fee payments on qualifying orders that are placed during the term of this agreement.  The term will begin on the date that your submitted registration is approved by us and shall end when cancelled by either party.  Either Chakra Productions, LLC or Participant may choose to cancel this agreement at any time by written notice of cancellation to the other. 

 

Referral fees earned through the date of expiration or cancellation of this agreement will remain payable only if the products are not returned or cancelled from their orders.  Payment of the final referral fee payment to the Participant may be withheld for a reasonable time in to order to ensure that the correct amount is paid.

 

We reserve the right to change any of the terms and conditions in this agreement, at any time and at our sole discretion, by posting a new agreement on our website.

 

You and we are independent contractors, and nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.  You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this section.

 

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this agreement or the program, even if we have been advised of the possibility of such damages.  Further, our aggregate liability arising with respect to this agreement and the program will not exceed the total referral fees paid or payable to you under this agreement.

 

We make no express or implied warranties or representations with respect to this program.  We make no representation that the operation of our website will be uninterrupted or error-free, and we will not be liable for the consequence of any interruptions or errors.
